Section 138
Directors and officers can be prevented from committing illegal acts

(1) If a director or officer does any work on behalf of the company beyond his jurisdiction, the shareholder of such company may apply to the court to stop the same. However, an application cannot be made in accordance with this clause regarding the actions taken or about to be taken in relation to the obligations created by the actions taken by the company.
(2) According to the report received by the office in accordance with section 124 regarding a company, the business of such company may be conducted or has been conducted in such a way that is contrary to the rights and interests of any or all or any specific class or group of shareholders of that company or any act done or intended to be done by the company or done by the company. If the office feels that such shareholders have been harmed or will be harmed due to non-performance of any required action, the office may file a complaint in court against such company or its directors or officers.
(3) If an application under subsection (1) or (2) is received, the court may issue an appropriate order to the concerned company or its director or officer.
